By accessing this web site, you are agreeing to be bound by these web site Terms and Conditions of Use, all applicable laws and regulations, and agree that you are responsible for compliance with any applicable local laws. 1. Use License

  1. Permission is granted to temporarily download one copy of the materials (information or software) on AWLTD's web site for personal, non-commercial transitory viewing only. This is the grant of a license, not a transfer of title, and under this license you may not:
    1. 1. modify or copy the materials;
    2. 2. use the materials for any commercial purpose, or for any public display (commercial or non-commercial);
    3. 3. attempt to decompile or reverse engineer any software contained on AWLTD's web site;
    4. 4. remove any copyright or other proprietary notations from the materials; or
    5. 5. transfer the materials to another person or "mirror" the materials on any other server.
  2. This license shall automatically terminate if you violate any of these restrictions and may be terminated by AWLTD at any time. Upon terminating your viewing of these materials or upon the termination of this license, you must destroy any downloaded materials in your possession whether in electronic or printed format.

2. Disclaimer

  1. The materials on AWLTD's web site are provided "as is". AWLTD makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties, including without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property or other violation of rights. Further, AWLTD does not warrant or make any representations concerning the accuracy, likely results, or reliability of the use of the materials on its Internet web site or otherwise relating to such materials or on any sites linked to this site.

3. Limitations

In no event shall AWLTD or its suppliers be liable for any damages (including, without limitation, damages for loss of data or profit, or due to business interruption,) arising out of the use or inability to use the materials on AWLTD's Internet site, even if AWLTD or a AWLTD authorized representative has been notified orally or in writing of the possibility of such damage. Because some jurisdictions do not allow limitations on implied warranties, or limitations of liability for consequential or incidental damages, these limitations may not apply to you.

4. Revisions and Errata

The materials appearing on AWLTD's web site could include technical, typographical, or photographic errors. AWLTD does not warrant that any of the materials on its web site are accurate, complete, or current. AWLTD may make changes to the materials contained on its web site at any time without notice. AWLTD does not, however, make any commitment to update the materials.

5. Web Design Project Copyright:

 The Client will be assigned rights to use the Web Design Project as a web site, once final payment under this agreement and any additional charges incurred have been paid. Rights to actual computer programs, software applications used and source code are specifically not transferred to the Client, and remain the property of their respective owners. AWLTD retains the right to display a sample of clients Web design elements as examples of AWLTD portfolio. All Web Design Projects will have a small add or text link to AWLTD Development Services Web Site at the bottom of the webpage.

6. Project Timeline:

AWLTD and the Client must work together to complete the Web Design Project in a timely manner. We agree to work expeditiously to complete the Web Design Project no later than 30 days after Client has submitted all necessary materials. If the Client does not supply AWLTD with complete text and graphics content for this Web Design Project within 45 days of the effective date of this agreement, the entire deposit amount of the agreement shall be retained by AWLTD as liquidated damages and the contract shall become null and void, at AWLTD' option, unless the Web Design Project is cancelled in writing by the Client prior to 45 days of the effective date of the agreement.

7. Project Delivery:

The final web site design project will be published to the Client's hosting service upon receipt of final payment or delivered via CD by mail or email in a ZIP file upon the receipt of full payment.

8. Payments:

Payments must be made promptly based on the terms of the Web Site Design Project Quote which is provided to client via proposal or email. AWLTD reserves the right to remove any Web Design Project from viewing on the Internet until final payment is made. In case collection proves necessary, the Client agrees to pay all fees (including all attorney's fees and court costs) incurred by that process. This agreement becomes effective only when quote has been accepted by client and client pays initial deposit.

9. Payment Schedule:

AWLTD requires a deposit up front and then the balance is due just prior to project completion or posting live to the web. Upfront deposit is determined per project; client deposit amount will be shown when quoting for the project. AWLTD accepts any of the following payment methods. By making a deposit you are accepting AWLTD quote and the agreement terms on this page.

10. Refunds:

If you make a deposit payment and then cancel the project before AWLTD begins working on your project then AWLTD will refund your deposit payment within 30 days. Deposits are non refundable once the project has started or is in progress. Web Hosting - Client can choose to host website with any Hosting service.

11. Search Engines:

AWLTD does not guarantee where the clients' website ranks in search engines and directories.

12. Assignment of Web Design Project:

AWLTD reserves the right, and you hereby agree, to assign subcontractors to this Web Design Project to insure that the terms of this agreement are met as well as on-time completion.

Accessibility and Validation - AWLTD develops website and web pages so the content and functions built into the web site are available to the majority of visitors. AWLTD does not guarantee the sites to be error free or to pass any 3rd party validation or disability compliance check tools. If Client needs the website coding to pass W3C or Disability complains and validations the client must request to AWLTD that disability compliance or validation coding be including in the quotation as an add-on service.

13. Legal Notice:

Notwithstanding anything to the contrary contained in this contract, neither AWLTD nor any of its employees or agents warrants that the functions contained in the Web Design Project will be uninterrupted or error-free.

The entire risk as to the quality and performance of the Web Design Project is with the Client. In no event will AWLTD be liable to the Client or any third party for any damages, including, but not limited to, service interruptions caused by Acts of God, the Hosting Service or any other circumstances beyond our reasonable control, any lost profits, lost savings or other incidental, consequential, punitive, or special damages arising out of the operation of or inability to operate this Web Design Project, failure of any service provider, of any telecommunications carrier, of the internet backbone, of any internet servers, you or your site visitor's computer or internet software, even if AWLTD has been advised of the possibility of such damages.

14. Indemnification:

The Client shall indemnify AWLTD against and hold AWLTD harmless from any and all claims, actions, suits, proceedings, costs, expenses, damages, and liabilities including attorney's fees, claimed by any person, organization, association or otherwise arising out of, or relating to, the web pages and the websites creation or hosting, use, possession, operation and/or condition. The provisions of this paragraph shall survive the termination of this agreement and terms of service.

15. Site Locking

AWLTD's reserve the right to close down any website under its development if only such website owner/company is owing AWLTD and not paid after two (2) weeks to the proposed date of completion listed on the proposal sent to such individual/company.

16. Site Maintenance & Management

Any website not hosted by AWLTD will require a term of agreement between AWLTD and the company in question as regards payment of services either monthly or annually or as may be agreed upon by both parties. For site maintained by AWLTD, it is expected that the client pay N30,000/annum if only the support is once in a month, if the client request for more than once, AWLTD will charge N20,000/month for twice in a week support and N10,000/month for once in a week support. All these charges can be reviewed anytime without the consent of the client but a notification will be sent across to all active clients on AWLTD database.

17. Links

AWLTD has not reviewed all of the sites linked to its Internet web site and is not responsible for the contents of any such linked site. The inclusion of any link does not imply endorsement by AWLTD of the site. Use of any such linked web site is at the user's own risk.

18. Site Terms of Use Modifications

AWLTD may revise these terms of use for its web site at any time without notice. By using this web site you are agreeing to be bound by the then current version of these Terms and Conditions of Use.

19. Governing Law

Any claim relating to AWLTD's web site shall be governed by the laws of the State of Lagos without regard to its conflict of law provisions.
